1. Acceptance of Terms#
By accessing a Virteche website, creating an account, submitting an inquiry, joining a waitlist, placing an order, paying an invoice, or using any service provided by Virteche, you agree to these Terms of Service.
These Terms apply across Virteche, Virteche Global, Virteche Cloud, Virteche Futures, and related dashboards, APIs, support tools, emails, invoices, and account surfaces.
If you use the services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Our Services#
Virteche operates multiple product lines under one company account system. Each product may have different features, availability, pricing, fulfillment rules, eligibility requirements, and product-specific terms.
- Virteche Global: product sourcing, business purchasing workflows, product records, quote requests, qualification notes, shipment-related records, and related marketplace or sourcing tools.
- Virteche Cloud: VPS hosting, dedicated servers, proxy services, billing, support, server dashboards, and related infrastructure services.
- Virteche Futures: research, simulation, live paper trading dashboards, trade history, performance analytics, waitlist access, and related strategy-testing tools.
- Virteche company sites: marketing pages, product information, account entry points, legal pages, and support resources.
3. Accounts, Eligibility, and Security#
- You must be at least 18 years old, or the age of majority where you live, to use paid services.
- You must provide accurate registration, contact, billing, and verification information.
- You are responsible for keeping your login credentials secure and for activity under your account.
- We may require email verification, phone information, identity verification, two-factor authentication, or other checks for security, fraud prevention, compliance, or product access.
- A Cloud order may be delayed or declined while we review payment, account, order, or verification information. Identity verification is requested only when we consider it proportionate, and completing it does not by itself guarantee that an order will be accepted.
- One person or entity may not create multiple accounts to avoid limits, abuse controls, sanctions screening, billing obligations, or access decisions.
4. Acceptable Use#
You may not use any Virteche service to harm other users, third parties, networks, platforms, markets, or our systems. We may suspend or terminate services immediately when we reasonably believe there is abuse, risk, fraud, illegal activity, or a material breach.
- No spam, phishing, credential theft, malware, botnet activity, denial-of-service activity, unauthorized scanning, intrusion attempts, or network abuse.
- No illegal content, child sexual abuse material, exploitation, harassment, threats, or content that violates applicable law.
- No hosting, storing, or transmitting material that infringes the copyright or other intellectual-property rights of others. We respond to copyright complaints and operate a repeat-infringer policy as described in our DMCA & Copyright Policy.
- No cryptocurrency mining, high-risk scraping, bulk messaging, resale, or unusually abusive workloads unless expressly approved in writing.
- No attempts to bypass rate limits, security controls, geographic restrictions, account restrictions, payment controls, or access gates.
- No use of Global, Cloud, or Futures services in violation of sanctions, export controls, import rules, securities laws, commodities laws, tax laws, or other applicable regulations.
To report copyright infringement, or to submit a counter-notice, see our DMCA & Copyright Policy.
Virteche reports apparent child sexual abuse material to the National Center for Missing & Exploited Children (NCMEC) as required by 18 U.S.C. § 2258A when we obtain actual knowledge of it on our services, and preserves related records as that section requires. Virteche does not monitor, screen, or scan the contents of customer servers, and is under no legal obligation to do so.
5. Virteche Global Terms#
Virteche Global is designed for business sourcing, quote coordination, product information, and related purchasing workflows. Product listings, pricing, delivery estimates, specifications, certifications, availability, and qualification notes may change and are not guaranteed until confirmed in a final quote, invoice, purchase order, or written confirmation from Virteche.
- Quotes may depend on quantity, destination, supplier availability, shipping method, customs, duties, taxes, compliance requirements, packaging, substitutions, and timing.
- You are responsible for giving accurate product requirements, delivery information, compliance needs, receiving instructions, and business contact details.
- Product images, specifications, delivery estimates, warranty notes, certifications, and packaging details are provided for planning and comparison and may require final confirmation.
- Import duties, customs fees, destination taxes, local compliance obligations, permits, and end-use restrictions are your responsibility unless a written quote says otherwise.
- Cancellations, returns, substitutions, damaged goods, and refunds may depend on supplier terms, product category, shipment status, and the terms stated in the accepted quote or invoice.
- Third-party supplier, carrier, manufacturer, marketplace, or customs delays may affect fulfillment. Virteche is not liable for delays outside our reasonable control.
6. Virteche Cloud Terms#
Virteche Cloud services are provided subject to resource availability, provisioning status, network conditions, upstream providers, and any plan-specific limits shown at purchase or in the client area.
- You are responsible for the content, software, security, backups, firewall rules, credentials, and activity on your servers and services.
- Dedicated servers and manually provisioned services may require additional setup time and may not be instantly available.
- We may suspend or restrict services for overdue invoices, abuse reports, resource abuse, security risk, policy violations, legal process, or upstream provider requirements.
- Unless a written managed-service agreement says otherwise, you are responsible for maintaining your applications, data, operating systems, and backups.
- IP addresses, proxy credentials, bandwidth, locations, hardware, and network routes may change when operationally necessary.
- Availability commitments, service credits, and their eligibility requirements are set out in our Service Level Agreement.
Operating systems and other third-party software you run on a Virteche Cloud service are licensed by their vendors, not by Virteche, unless a licence is expressly sold to you by Virteche as part of your service. Where Virteche supplies a licence, it is provided for use on that service only, for as long as you pay for it, and it is not transferable to hardware outside our network.
Where you supply your own licence, you warrant that you hold a valid licence permitting the software to be used on shared, multi-tenant hosting infrastructure operated by a third party, and that you will keep it valid for as long as you run the software here. For Microsoft Windows Server this is narrower than it may appear: under Microsoft's Flexible Virtualization Benefit, only a licence with active Software Assurance, or a subscription licence, may be used on our hardware. OEM licences, retail licences, and volume licences without active Software Assurance do not qualify, and Windows Server is excluded from License Mobility. Windows images deploy from Microsoft's evaluation media and are not activated by us.
You are responsible for your own licence compliance, including activation, licence counts, renewals, audits, and any fees or penalties arising from them. You agree to defend, indemnify, and hold harmless Virteche from any claim, demand, audit finding, penalty, or expense brought by a software vendor or its agent that arises from software you licensed, installed, or ran on a Virteche service.
If we receive credible notice that software running on your service is not properly licensed — including from the software vendor, its licensing agent, or an upstream provider on whose hardware your service runs — we may ask you for evidence of a valid licence and may suspend or restrict the affected service until the matter is resolved. Virteche does not inspect, monitor, or verify the activation or licensing state of software inside your server, and nothing in this section obliges us to.
Storage boxes are storage space reached over authenticated protocols (such as SFTP, SCP, rsync, and Borg over SSH). A storage box is kept on mirrored disks at a single location: this protects against the failure of one disk, but not against deletion or corruption of your files, the failure of more than one disk, or loss of the location. Virteche does not back up the contents of storage boxes. You are responsible for keeping another copy of anything you cannot afford to lose.
A storage box may not be used to publish or distribute content to the public or to third parties, to host content you do not have the right to store, or to circumvent another service's access controls. Each storage box includes a monthly data-transfer allowance shown at purchase; once it is used, the box continues to work at a reduced speed until the allowance renews at the start of the next calendar month. We may also reduce speeds temporarily where needed to protect the network or other customers.
When a storage box is cancelled, whether immediately or at the end of the billing period you choose, or is terminated for non-payment, the storage box and all data in it are permanently deleted when the cancellation or termination takes effect and cannot be recovered. A storage box suspended for non-payment keeps its data until it is either restored by payment or terminated.
See our Service Level Agreement for uptime commitments and service credits.
7. Network Monitoring and Abuse Detection (Virteche Cloud)#
Virteche Cloud services run on servers and network equipment that we operate. In the course of operating, maintaining, and testing that network, protecting our rights and property, and protecting users of the service from abuse of service and unlawful use of service, we collect and retain network flow metadata describing the traffic that enters and leaves each server we provide to you. This metadata is recorded at our network infrastructure, not inside your server.
Network flow metadata is limited to the following information about each network connection:
- Source and destination IP addresses.
- Source and destination ports.
- Protocol (for example TCP, UDP, or ICMP).
- Byte counts and packet counts.
- Timestamps, including when a flow started and ended.
- The server and IP address assignment to which the flow is attributed.
We do not capture, inspect, read, store, or reconstruct the contents of your communications. Flow metadata records that a connection occurred, between which addresses, and how much data moved — it does not record what was sent. We do not perform deep packet inspection and we do not decrypt your traffic. You receive full administrative (root) access to your server, and we do not have visibility into the software, files, or data inside it.
We use network flow metadata only for the following purposes: to detect, investigate, and act on network abuse, including unsolicited bulk email, denial-of-service and distributed denial-of-service traffic, port scanning, reflection and amplification attacks, intrusion attempts, and similar activity; to protect the security, stability, capacity, and availability of our network and of other users of it; to investigate and respond to abuse reports, complaints, and requests from upstream providers, other network operators, third parties, and valid legal process; and to enforce these Terms and our acceptable use requirements.
We do not use network flow metadata for advertising, marketing, behavioural profiling for commercial purposes, or sale to third parties, and we do not sell it.
Firewall totals. If you switch on the firewall we provide for a server, the network equipment that enforces it counts the inbound connection attempts it blocks for that server — how many there were, how many distinct source addresses they came from, which destination ports and protocols they targeted, and which countries and networks they came from — and we show you those totals in your dashboard, so that you can see what the firewall is protecting you from. Source addresses are used only briefly, on that equipment, to count distinct ones and to look up their country and network in IP databases kept on that equipment: they are not stored, and they are not shown to you or to anyone else. The totals are kept for 30 days and then deleted. You can switch the counting off for a server at any time, and turning the firewall off stops it.
We retain network flow metadata for 14 days, after which it is deleted. We may retain a specific flow record for longer where it is part of an open abuse investigation, is needed to respond to a complaint or legal process, or is subject to a preservation obligation.
If you allow other people to use, or send traffic through, a server you obtain from us — including your own customers, employees, or end users — you are responsible for informing them of this practice and for obtaining any notice or consent that applies to them under the law that governs your relationship with them.
By using Virteche Cloud services, you consent to the collection, retention, and use of network flow metadata as described in this section.
8. Virteche Futures Terms#
Virteche Futures is a research and paper-trading environment. It is not a broker, exchange, futures commission merchant, commodity trading advisor, investment adviser, financial adviser, or money manager.
Virteche Futures does not accept client trading funds, place live trades for clients, manage client accounts, provide individualized investment advice, or guarantee trading outcomes.
- Simulated, paper, historical, or dashboard performance does not represent actual trading results and does not guarantee future results.
- Any strategy, signal, dashboard, metric, alert, chart, or research output is for informational and testing purposes only.
- You are responsible for your own financial, tax, legal, and trading decisions. Consult qualified professionals before making financial decisions.
- Futures, commodities, securities, derivatives, crypto assets, and other markets can involve substantial risk of loss.
- Access to Futures features may be gated by waitlist status, approval, subscription status, user role, availability, or product testing limits.
9. Billing, Payments, and Taxes#
Fees, billing cycles, due dates, payment methods, invoice terms, usage charges, setup fees, and renewal rules may differ by product. Unless otherwise stated in writing, paid services are billed in advance and fees are non-refundable except where required by law or expressly stated in a product-specific quote or policy.
- You authorize us and our payment processors to charge approved payment methods for invoices, renewals, credits, deposits, and applicable fees.
- We may suspend, restrict, or terminate services for unpaid, disputed, reversed, fraudulent, or overdue payments.
- You are responsible for taxes, duties, customs charges, bank fees, currency conversion fees, chargebacks, and payment processor fees unless otherwise stated.
- Account credits, promotional credits, and discounts have no cash value unless required by law.
10. Service Availability and Changes#
We may modify, pause, replace, restrict, or discontinue features, plans, suppliers, services, regions, hardware, pricing, dashboards, catalog records, APIs, or beta programs. We will try to provide reasonable notice for material changes when practical, but immediate changes may be necessary for security, compliance, reliability, provider requirements, or abuse prevention.
11. Data, Privacy, and Communications#
Your use of Virteche is also governed by our Privacy Policy and Cookie Policy. By using the services, you agree that we may send transactional notices, security notices, invoices, receipts, support replies, service updates, verification messages, and other operational communications.
Review our Privacy Policy and Cookie Policy for more information.
12. Intellectual Property#
All software, dashboards, workflows, branding, designs, documentation, data models, and platform materials provided by Virteche remain owned by Virteche or its licensors. You receive a limited, revocable, non-exclusive, non-transferable right to use the services for their intended purpose.
You retain ownership of content and information you provide, but grant us the rights needed to host, process, display, transmit, analyze, secure, support, and otherwise operate the services.
13. Third-Party Services#
Virteche may rely on third-party providers for payments, infrastructure, suppliers, shipping, tracking, OAuth, email, analytics, identity verification, and other operations. Third-party services may have their own terms, policies, limits, outages, delays, or compliance requirements.
14. Disclaimers#
To the maximum extent permitted by law, the services are provided as-is and as-available. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, exact availability, exact delivery timing, exact marketplace availability, and exact trading or research outcomes.
15. Limitation of Liability#
To the maximum extent permitted by law, Virteche's total liability for claims arising from or related to the services or these Terms will not exceed the amount you paid to Virteche for the affected service during the three months before the event giving rise to the claim.
We are not liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-data, market-loss, trading-loss, customs-delay, supplier-delay, or business-interruption damages.
16. Indemnification#
You agree to defend, indemnify, and hold harmless Virteche, its owners, employees, contractors, and service providers from claims, losses, liabilities, damages, fees, and expenses arising from your use of the services, your content, your products, your trading or research decisions, your breach of these Terms, or your violation of law or third-party rights.
17. Suspension and Termination#
You may stop using the services or request cancellation according to the applicable product workflow. We may suspend or terminate your account or services for breach, nonpayment, abuse, security risk, fraud risk, legal process, sanctions risk, provider requirement, or discontinued availability.
After termination, access may stop immediately and data may be deleted according to our retention practices, legal obligations, backups, and product-specific policies.
Some protective actions may be applied automatically. Where our systems detect traffic that crosses an abuse or security threshold — for example an outbound denial-of-service flood, large-scale scanning, or an amplification attack — we may automatically rate-limit, filter, or suspend the affected service in order to protect the network and other users. Because that action addresses harm that is already underway, it may take effect immediately and without prior review by a member of our staff. A member of our staff reviews the matter before we take a lasting adverse action such as account termination, and you may ask us to review an automatic suspension as described below.
We may use automated tools, including an artificial-intelligence model that we host and run on our own infrastructure, to sort, summarize, and prioritize incoming abuse reports. We do not send customer data or abuse-report contents to third-party artificial-intelligence providers. Automated triage does not by itself decide any adverse action against you; a member of our staff reviews the matter before an adverse action is taken.
If your service is suspended or restricted and you believe the action was mistaken, you may appeal by contacting [email protected] with your account details and an explanation. We will review the appeal and tell you the outcome.
18. Governing Law and Disputes#
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. You and Virteche agree that any dispute arising from or related to the services or these Terms will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of those courts, unless applicable law requires otherwise.
19. Changes to These Terms#
We may update these Terms from time to time. If a change is material, we will make reasonable efforts to notify affected users by email, dashboard notice, website notice, or another appropriate method. Continued use after the effective date means you accept the updated Terms.
20. Contact#
